Tokenized Equities
Liquidity and Counterparty Risk
Liquidity asks whether a position can be exchanged in the desired amount and time at an acceptable cost. Counterparty analysis asks whether the party owing performance can and will meet the relevant obligation. A token can have a current quote while its redemption counterparty has a problem, or a healthy reference company while no buyer wants the token.
What you will learn
- Distinguish small-quote liquidity from an executable whole-position exit.
- Separate reference-company risk from intermediary performance risk.
- Analyze how liquidity and counterparty problems can interact.

Two different reasons an exit can fail
Liquidity asks whether a position can be exchanged in the desired amount and time at an acceptable cost. Counterparty analysis asks whether the party owing performance can and will meet the relevant obligation. A token can have a current quote while its redemption counterparty has a problem, or a healthy reference company while no buyer wants the token.
The SEC staff's tokenized-securities statement notes that third-party models can add third-party insolvency risk and may provide rights different from the original security. It is nonbinding U.S. staff analysis, not an assessment of every actual issuer. SEC staff statement

Worked example: a 50 quote cannot fill 100 units
Imagine a holder wants to sell 100 fictional tokens. The first available buyer bids 50 for only 20 units. Another buyer bids 48 for the remaining 80. If both bids are executable under the stated conditions, gross proceeds are 20 × 50 + 80 × 48 = 4,840, an average 48.40 before costs.
A dashboard using only the top bid might show a position value of 5,000. That is not the available whole-position proceeds. A last trade at 51 would be another historical reference, not a promise to buy the holder's quantity.
Now suppose the token issuer announces that conversions require investigation, while the referenced company's shares remain unchanged. Some token buyers withdraw. The liquidity problem may deepen because participants are uncertain about the intermediary claim. That does not establish a particular legal loss or actual fraud, but it demonstrates a separate risk channel from reference-company performance.
Reference company risk → original share value
Intermediary risk → ability to honor token claim/conversion
Market depth → amount executable now
Combined holder outcome → rights + performance + exit route + costs
Compare exits under stress
Identify secondary sale, conversion to the original security, cash redemption and transfer to another holder as separate possibilities. Check eligibility, minimums, queues, notice, costs and suspension conditions. Do not treat a transfer function as a funded buyer or a redemption request as cash receipt.
For a stressed scenario, ask what evidence remains available when the interface is down. Can the holder identify the issuer, authoritative register, claim documents and support or legal process? A custody or backing report does not alone settle access or insolvency priority. Keep those unknowns visible.
Also examine common dependencies. Several token issuers may use one custody provider or conversion service. Brand diversity does not necessarily diversify the exit. Conversely, a large quoted daily volume can include repeated turnover of the same positions and need not guarantee a deep bid for a large sale.
Common misconceptions
“A small trade proves liquidity for my full holding.” Quantity and depth matter.
“A good reference company means the token issuer cannot fail.” They are different relationships.
“Backing removes every liquidity problem.” Access, timing, liabilities and buyers still need evidence.
Risks and limits
No actual order book, issuer solvency, market manipulation or legal recovery is assessed. The arithmetic assumes the stated bids remain executable and omits fees. Real depth can change during execution. A lesson cannot predict stress outcomes or replace current evidence about custody, conversion and rights.
Exercise and answer
Exercise: Sell 20 units at 50 and 80 at 48. What gross proceeds and average price follow? Does a top bid of 50 prove 5,000 proceeds?
Answer: Proceeds are 4,840 and average price 48.40. The top bid applies only to its stated 20-unit size, so it does not establish a 5,000 full-position exit.
