Tokenized Equities
Direct Ownership vs Tokenized Exposure
Compare shareholder status and linked claims through documented distributions, votes, custody and failure rights.
What you will learn
- Distinguish shareholder status from linked exposure
- Build a document-backed rights matrix
Editorial status: PUBLISHED. AI-assisted educational material; user batch approval recorded on 2026-10-19. The issuer, vehicle and numbers are fictional, with no legal opinion on a real security.
Learning objectives
- Distinguish shareholder status from a linked payment formula.
- Compare corporate actions and failure claims across two structures.
- Build a document-backed rights matrix rather than rely on price correlation.
Exposure is an economic description
A product can follow a share price without making its holder a shareholder of the referenced company. Investor.gov describes stock as ownership in a company and explains that share classes can carry different rights. A contract linked to stock needs its own analysis rather than borrowing those rights from its reference asset. SEC: Stocks
The SEC staff's 2026 tokenized-securities statement distinguishes issuer-sponsored and third-party custodial or synthetic models. Third-party tokens may not provide obligations of the underlying issuer or shareholder rights and can introduce third-party insolvency risk. The statement is U.S. staff analysis without independent legal force, not a Commission rule. SEC staff statement
Worked example: equal charts, unequal distributions
Imagine fictional company Hazel's share reference rises from 50 to 55. Investor A has ten recognized shares under the assumed issuer process. Investor B has ten units of a vehicle contract that references the shares but gives only a cash claim against the vehicle. Both screens can show a reference value of 550 from an initial 500, ignoring costs.
Hazel then declares a fictional 1-per-share dividend. Assume A's specified share class is entitled to 10 under its applicable process. B's contract instead promises a dividend-equivalent calculation after a stated 2 total administration charge, so its contractual result would be 8. These differences are teaching assumptions, not universal treatment of third-party tokens.
If the vehicle fails while Hazel remains healthy, B has an additional relationship to investigate. Full share backing does not itself identify B's recovery priority, access to segregated assets or ability to convert into direct shares. A also needs evidence for custody, register and recovery, rather than being labeled risk-free.
A → recognized shareholder interest → Hazel
B → vehicle cash claim → vehicle's holdings or hedge → Hazel reference
Price similarity ≠ voting, information, dividend or failure-right equivalence
Build a six-column rights matrix
For each arrangement, record issuer recognition, voting, distributions, transfer, conversion or redemption, and failure treatment. Link each cell to a governing passage, entity, effective date and jurisdiction. Use unknown where evidence is missing. “Backed” does not answer all six columns.
Inspect the conversion claim carefully. Is delivery of original shares actually permitted, to whom, at what minimum, with which review and fees? Reading conversion terms is different from successfully completing conversion. Do not upgrade documentation evidence into direct test evidence.
Also map the authoritative record. A token transfer can update a ledger without automatically completing an external register change. A holder's address and a legally recognized shareholder identity are related only through the specified arrangement. Preserve discrepancies and obtain authorized resolution rather than infer title from a balance.
The BIS framework similarly connects the asset, its representation and governance. BIS
Common misconceptions
“One token per share means every shareholder right.” Unit matching does not establish the holder's claim.
“Dividend equivalent means identical dividend.” Fees, conditions, withholding and timing require the specific contract.
“Direct ownership has no intermediary risk.” Custody and operational arrangements still need inspection.
Risks and limits
This lesson does not classify an actual security, determine insolvency priority or provide tax advice. All distributions and charges are fictional. U.S. education and staff analysis cannot be applied as universal local law. Do not infer residency access or legal protection from a familiar company name or network.
Exercise and answer
Exercise: A and B track the same share price, but B has only a vehicle cash claim. Can a 10% reference-price increase establish equal total outcomes or voting rights?
Answer: No. Costs, distributions, legal status and failure claims can differ. Complete the rights matrix and distinguish verified facts from assumptions.

Hazel, both structures and the dividend calculation are original examples; no share conversion, vote or dividend was tested.
