Tokenized Equities

Dividends and Corporate Actions

A company action affects the original security under its terms. A token holder's outcome depends on the instrument they hold and the mechanism connecting it to that action. Investor.gov explains stock ownership, share classes and possible dividends; it does not grant those features automatically to a third-party price contract. SEC: Stocks

What you will learn

  • Distinguish the original security event from a token instrument's entitlement.
  • Preserve record-date positions and correction history.
  • Calculate dividends and splits without inventing economic gain.

Learning objectives

  • Distinguish the original security event from a token instrument's entitlement.
  • Preserve record-date positions and correction history.
  • Calculate dividends and splits without inventing economic gain.

The event must travel through the structure

A company action affects the original security under its terms. A token holder's outcome depends on the instrument they hold and the mechanism connecting it to that action. Investor.gov explains stock ownership, share classes and possible dividends; it does not grant those features automatically to a third-party price contract. SEC: Stocks

The SEC's 2026 staff statement describes differences between issuer-sponsored and third-party arrangements. The document is nonbinding U.S. staff analysis, not a universal rule for dividends, taxes or record dates. SEC staff statement

Worked example: a split and a later distribution

Imagine an investor holds 30 fictional shares at a reference 40 each. A purely arithmetic two-for-one split changes the count to 60 and an adjusted reference to 20. The reference amount remains 1,200. More units alone create no gain in this teaching model.

Later, assume the company's stated record-date entitlement is 0.50 per post-split share. A qualifying 60-share position corresponds to 30 before any applicable taxes or costs. Now suppose a third-party token contract passes through an equivalent amount after a stated total service charge of 2. Its hypothetical result is 28. The original distribution and the contract payment are related but not automatically identical.

If the holder transfers 20 tokens after the assumed record date, today's balance cannot be used to reconstruct the earlier entitlement without the actual terms and historical position. A system must retain the event, snapshot, rule version and authorized corrections.

Original corporate action → recognized security entitlement
                                  ↓
Token instrument terms → calculation → review → payout or unit adjustment
                                  ↓
                          reconciliation and corrections

The example assumes eligibility for the action solely to explain calculation. It does not determine legal shareholder status, withholding or actual payment timing.

Elections and exceptional cases

Some actions can require a choice rather than an automatic number change. A teaching design should state who receives the notice, who can elect, the deadline source and what happens if no instruction arrives. Do not create a default legal outcome without the governing document. Fractional units, changed identifiers and halted transfers also require explicit handling.

A third-party provider might not support every action the original shareholder can take. Read the conversion, election, vote and distribution clauses separately. A generic statement that “all benefits pass through” needs a scope, fees and an exception process.

Test duplicate event messages, revised amounts, transferred positions, missing bank payment and an unsupported election. The same event must not produce two payouts or two splits merely because a notification was repeated. A correction should preserve the previous decision and the authority for changing it.

Common misconceptions

“A split doubles wealth.” Count and reference price can change together without changing the reference amount.

“The current balance determines every old dividend.” Historical rules and positions can matter.

“A dividend-equivalent contract gives a vote.” Distribution formulas do not establish unrelated rights.

Risks and limits

No actual corporate action, tax treatment, entitlement date or legal voting right is asserted. Share classes and token structures vary. Source documentation verification is not a completed payout or election test. The lesson's model excludes market price changes around actions, disputes and complex reorganizations.

Exercise and answer

Exercise: Thirty shares at 40 become 60 at an adjusted 20. What happens to the teaching reference amount? Does a later token balance prove the old dividend entitlement?

Answer: The reference amount remains 1,200. A later balance does not alone prove a past entitlement; preserve the governing event and historical position.
