Asset Origination

Follow the sourcing, screening and verification of assets entering a product.

What you will learn

  • Map origination checks
  • Identify incentives and information gaps

AI-assisted educational manuscript. All counterparties, invoices and amounts are invented.

Learning objectives

  • Map the checks performed before an asset enters a financing structure.
  • Separate source evidence from an originator's assertion.
  • Identify incentives and missing information that affect asset quality.

Origination begins before token issuance

Origination is the process by which an asset or financing opportunity is sourced, evaluated and accepted into an arrangement. A token record cannot substitute for that process. Before recording a loan claim, determine who the borrower is, what obligation exists, what cash is expected and who will service it. Investor.gov describes a bond as a debt security with issuer payment obligations; a promise remains dependent on performance. SEC: Bonds

A teaching origination review has separate evidence questions: does the referenced asset or obligation exist; does the proposed seller have the claimed rights; is information current and complete; what can interrupt cash generation; and who benefits from accepting the asset? These are research questions, not a universal underwriting checklist or legal approval.

The BIS's arrangement framework is useful here because the connection between an external asset and a token depends on records, responsible entities and operational rules. Recording a representation does not establish that every external assertion was true. BIS

Worked example: two invoices and one customer

Imagine an originator offers a fictional pool two receivables. Invoice A is 60,000 and invoice B is 40,000. The summary calls this “two-asset diversification.” Both invoices, however, are payable by the same customer for related deliveries. If that customer cannot pay, both may fail together. Two records do not establish two independent sources of repayment.

Assume the pool proposes advancing 80% of each invoice's stated amount: 48,000 and 32,000, for 80,000 total. The remaining 20,000 is not automatically a first-loss reserve available to investors. It could simply be an unadvanced portion, with allocation depending on the actual agreement. The analyst should not turn an arithmetic discount into a legal protection.

Now suppose the originator is paid 2% of accepted invoice face value. It receives 2,000 if both are accepted, regardless of later collection in this invented contract. This creates an incentive to maximize acceptance. It does not prove misconduct, but it justifies independent checks of delivery evidence, debtor confirmation, duplicate financing and collection arrangements.

Seller assertion → invoice documents → delivery/acceptance evidence
                                    → debtor and payment history
                                    → existing claims/assignment questions
                                    → independent acceptance decision
Accepted asset → servicing → collections → reconciliation → holder outcome

Each arrow needs a source, date and accountable reviewer. A file hash can identify a document version while saying nothing about whether the document's content is truthful.

Follow the information after acceptance

Origination evidence becomes stale. An accepted borrower can deteriorate; a receivable can be disputed; expected payment dates can change. Define reporting events, collection responsibility and escalation when evidence is missing. Avoid a design where the only party that can report a problem is paid solely for new issuance.

Record both positive evidence and unresolved questions. “Invoice document received” is narrower than “debt enforceability verified.” “Customer acknowledged delivery” is narrower than “payment guaranteed.” A useful acceptance memo says what was checked, who checked it and what remains outside the review.

Common misconceptions

“An asset ID proves the asset exists.” It identifies a record, not its underlying truth.

“A haircut is always investor protection.” Protection depends on rights, allocation and the party able to absorb loss.

“Several assets mean independent risk.” Common debtors, industries and service providers can concentrate exposure.

Risks and limits

This lesson does not determine valid assignment, security interests, licensing or underwriting suitability. Those require product-specific evidence and qualified jurisdictional review. Fraud, stale information, related-party transactions and servicing failure can remain even when initial documents appear complete.

Exercise and answer

Exercise: Two receivables share one debtor. Does issuing two token series diversify debtor risk, and does advancing only 80% establish a funded reserve?

Answer: No to both. The same debtor can affect both series, and unadvanced face value is not automatically segregated loss-absorbing cash. The actual agreements and evidence determine the protection.

Do two invoices from the same debtor establish independent debtor risk?
