Private Credit Tokenization
Investigate underwriting, borrower cash flows and servicing in private credit structures.
What you will learn
- Trace credit risk and servicing obligations
- Identify valuation and liquidity limits
AI-assisted manuscript. The loan pool is fictional; no lending recommendation or current yield is provided.
Learning objectives
- Trace borrower cash, servicing and holder claims in private-credit structures.
- Distinguish a loan's maturity from a fund holder's exit.
- Identify valuation, concentration and information limits.
Credit quality begins with borrowers and contracts
Private-credit analysis asks who borrows, how repayment is expected to be generated, what rights exist and who services problems. A token representation can change the record or transfer process without making borrowers more able to pay.
The SEC's bulletin on non-publicly traded business development companies explains that some BDCs lend directly to businesses or acquire loans. Nontraded shares lack an exchange exit, and repurchase opportunities can be limited. These are U.S. product-specific observations, not a claim that every private-credit vehicle is a BDC or has the same investor eligibility. SEC: Nontraded BDCs
The SEC also cautions that private placements can involve substantial loss, restricted transfers and less disclosure than registered offerings. An exemption does not mean SEC endorsement of investment quality. SEC: Private Placements
Worked example: payment concentration behind many tokens
Imagine a fictional pool lends 100,000 currency units: 60,000 to one manufacturer and 20,000 each to two suppliers dependent on that manufacturer. The pool issues 1,000 equal interests. Its marketing describes three borrowers, but their cash generation is economically connected.
Assume scheduled annual interest totals 10,000. Administration costs are 2,000. If all interest is received and distributed, net income is 8,000. A holder with ten interests receives 80 under these assumptions. If the manufacturer pays only half its scheduled 6,000 interest, received total interest falls to 7,000 and net income becomes 5,000, making the holder's allocation 50 before other adjustments.
This cash calculation does not measure total return. The principal value may also be impaired, expenses may change and recovery can take time. A dashboard showing “10% borrower rate” does not establish a 10% holder outcome.
Borrowers → actual collections → servicing/expenses → vehicle outcome

holder's issued claim
Default → evidence → servicing decision → recovery process → uncertain proceeds
Examine the servicing and exit machinery
Ask who monitors borrowers, enforces covenants, handles late payments and has authority to amend terms. How is the servicer paid? What happens if it fails? An originator paid for new loans may have different incentives from a holder waiting for repayment.
Illiquid loans can be difficult to value between cash events. Record valuation method, date, assumptions and independence. A stale model price is not a tested market bid. Nor does the loan's maturity establish that a fund holder can redeem at that date; the holder's instrument and liquidity terms operate at another layer.
Compare borrower, sector, geography and service-provider concentration. A hundred token holders do not diversify the underlying borrower pool. A transfer function does not create buyers for a position. Show known exits and their limits, including when none has been verified.
Common misconceptions
“Tokenized credit is liquid credit.” Technical transferability and executable market depth are different facts.
“The stated loan rate is my net yield.” Defaults, expenses, price changes and the holder's layer affect outcomes.
“Repurchase language means unconditional redemption.” Offers can be limited under the actual structure.
Risks and limits
This lesson does not assess underwriting, enforceability, suitability or eligibility for a real vehicle. The SEC materials are U.S. education about particular structures and exemptions. Recovery priority, collateral and legal remedies require actual contracts and jurisdictional review. No borrower, loan document or redemption was tested.
Exercise and answer
Exercise: The pool has three borrowers but two suppliers depend on the largest borrower. Do three names establish independent repayment sources?
Answer: No. Map the economic dependency as well as the legal borrower names. Shared customer demand can connect defaults and recoveries.
