TradFi Bridge

Traditional Financial Markets

A market can connect an entity seeking capital with investors, or allow existing holders to exchange interests. It can also support risk transfer, price discovery and settlement arrangements. These functions should be separated before evaluating whether a token changes them.

What you will learn

  • Distinguish financing an issuer from trading an existing interest.
  • Identify instruments and obligations before naming a venue.
  • Begin a TradFi-to-onchain map using functions and evidence.

Markets coordinate different financial tasks

A market can connect an entity seeking capital with investors, or allow existing holders to exchange interests. It can also support risk transfer, price discovery and settlement arrangements. These functions should be separated before evaluating whether a token changes them.

Investor.gov distinguishes stocks as company ownership interests, bonds as debt securities and mutual funds as pooled investment structures issuing shares. A market interface can display all three while their holder rights differ. SEC: Stocks, SEC: Bonds, SEC: Funds

Do not start with a familiar exchange logo and infer the instrument. Start with the issuer, investor, actual claim and purpose of the transaction.

Worked example: who receives the money?

In a teaching primary transaction, fictional Cedar Enterprise issues 100 new shares for 10 currency units each. Investors contribute 1,000 to the enterprise under the assumed arrangement, before costs. The transaction creates those new interests.

In a separate secondary transaction, an existing holder sells 20 of those shares to another investor at 12, receiving 240 before costs. The sale changes who holds the existing shares. It does not, by itself, send 240 of fresh capital to Cedar. A rising secondary price and new issuer funding are different observations.

Now replace the record with a token interface. If the issued right and cash recipient remain the same, the primary/secondary distinction still matters. A transfer event can show movement of existing units without showing new money invested in the underlying enterprise.

Primary model: investor money → issuer; new instrument → investor
Secondary model: buyer money → existing seller; existing instrument → buyer
Infrastructure: admission, execution, records, custody, clearing and settlement

The examples assume valid share arrangements solely for teaching. They establish no real issuer authorization or investor eligibility.

Map functions instead of brand categories

For each transaction, identify admission and identity review, order handling, execution, position records, safekeeping, valuation and settlement. One institution may perform several functions. Several brands can also rely on a shared provider. Count actual responsibilities rather than boxes.

Price discovery does not itself deliver the asset. A trade agreement creates obligations that need performance. Likewise, liquidity is about an executable amount, time and cost; a past price or a continuously visible chart does not guarantee an exit.

BIS's tokenization framework connects an asset or claim to its programmable representation and governance. Use it to ask which traditional function changes, which stays external and which new dependency is added. BIS

For the track's final infrastructure map, retain an evidence column. “The interface accepts orders” is narrower than “trades settle reliably.” A source about one jurisdiction or instrument cannot establish every market's rules. Mark unverified functions rather than fill the map with implied guarantees.

Common misconceptions

“Every trade raises money for the company.” A secondary exchange can move an existing interest between holders.

“A liquid market makes the issuer solvent.” Market access and the issuer's ability to perform are different risks.

“A token eliminates the instrument distinction.” Debt, equity and fund interests still require separate analysis.

Risks and limits

This lesson provides a functional introduction, not a comprehensive account of securities law, venues or licenses. SEC sources explain U.S. instruments. Actual issuance, trading and investor conditions require current jurisdiction-specific documents. No offering, broker account, market trade or token transfer was tested.

Exercise and answer

Exercise: An investor sells 20 existing shares at 12 to another holder. Does the 240 sale amount prove the company raised 240 of new capital?

Answer: No. In the stated secondary model, the seller receives the 240. New issuer funding would require its own transaction evidence.
